Words on Screen Players and Songs

Licensing Summary

Words on Screen™ Players and all their associated software remain the property of Out of the Ark Limited and its suppliers.

The user is granted the right to access, download and install Words on Screen™ Player software under the terms and conditions of the free Words on Screen™ Player Download and Installation Licence.

In addition a Single-User Licence is issued free of charge when Words on Screen™ eSongbooks or songs are purchased. This sets out the terms and conditions under which the Words on Screen™ Player may be used.

The Single-User Licence permits the downloading and installation of songs and eSongbooks onto a single computer (not a network server) belonging to the licence holder. In addition songs may be streamed for up to 12 months under the terms of the Single-User Licence.

Customers wishing to install songs and eSongbooks on to more than one computer, or onto a network server may do so if they have purchased a Digital Site Licence covering the product(s) in question, or in the case of a musical or nativity if they have purchased a Performance Licence. Additional digital usage rights are granted under these licences.

(1) Download & Installation Licence - For the Words on Screen™ Player

(a) Summary

This licence grants you the right to download and install the Words on Screen™ Player software.

Additional licences are issued when Songs or eSongbooks are purchased. These set out the terms and conditions under which the Words on Screen™ Player may be used.

Out of the Ark Limited reserves the right to revoke this licence if the terms of the licence are violated.

The Words on Screen™ Player software remains the property of Out of the Ark Limited.  



(b) Full Terms & Conditions

Definitions
In these terms and conditions, ‘we’ and ‘us’ mean Out of the Ark Limited, Units F1 & F2, Kingsway Business Park, Oldfield Road, Hampton, Middx, TW12 2HD, UK, a company registered in England.

'You’ means the person or organisation that purchases or receives goods, downloads, licences or services from us.

'Software' means any or all of the contents of the files including the Words on Screen™ Player, and associated programs and applications delivered electronically.

'Access' means to access, install or download the software.

'Compatible device' means a device that conforms to the system requirements of the software.


Intellectual Property Ownership, Reservation of Rights
The software (including its structure and code) and any installed copies that you make are the intellectual property of Out of the Ark Limited and its suppliers.

The software is protected by law, including without limitation the copyright laws of England, of other countries, and by international treaty provisions. Except as expressly stated herein, this agreement does not grant you any intellectual property rights in the software and all rights not expressly granted are reserved by Out of the Ark Limited and its suppliers.


Software Licence
By accessing a free Words on Screen™ Player you are acquiring a software licence to download and to install the unmodified Words on Screen™ Player software on an authorised operating system, in the manner and for the purposes described and subject to your compliance with the terms of this agreement.

In so doing you agree that you are not the owner of the player which remains the property of Out of the Ark Limited.

Copying, attempting to copy, distributing, selling or attempting to sell the player or its component parts or code are strictly forbidden.

Out of the Ark may at its own discretion include a complimentary song file with the Words on Screen™ Player. Please note that the use of song files within the Words on Screen™ Player is subject to separate licensing which is summarized at the end of this document.


Disclaimer
The software including the Words on Screen™ Player, associated programs and applications are delivered to you 'as is'.

We do not guarantee that our software, or our online or download services will always be secure or free from bugs, viruses, errors and omissions.

We do not warrant the performance of the software or the results you may obtain by using it including satisfactory installation, satisfactory integration, satisfactory quality, or fitness for any particular purpose.

In no event will we or our suppliers be liable to you for any damages, claims or costs whatsoever, including any consequential, indirect, incidental damages, or any loss of profits or savings.

In choosing to download or install this software, or to use the online or download services, you accept that you are doing so at your own risk.

If you are using computer equipment or a network that does not belong to you then you must ensure that you have the appropriate permission from the equipment and network owner(s) or operator(s) to access the online services and to download and run the software and that the owners/operators are made aware of this disclaimer.

This disclaimer shall survive the termination of this agreement but shall not imply or create any continued right to use the software after termination of this agreement.


Binding agreement
By downloading and/or installing all or any portion of the Words on Screen™ Player software, you accept all the terms and conditions of this agreement.

Upon acceptance, this agreement is enforceable against you and any person or organisation that obtained the software and on whose behalf it is used. If you do not agree you must not download or install the software.

We permit you ONLY to use the software only in accordance with the terms of this licence AND the terms of the licence(s) issued when Words on Screen™ eSongbooks or single songs are purchased.

We reserve the right to amend or to add to the terms of this agreement from time to time. You should refer to the terms of the agreement periodically to ensure that you comply with the revised terms. Such other terms and conditions will supersede all or portions of this agreement in the event of a conflict with the terms and conditions of this agreement.


Obligations and Restrictions
With the exception of your use of the software on a compatible device that runs one of the authorised operating systems listed below, you must not use the software on other devices.

You must not use the software with any application or device that circumvents technological measures for the protection of the content.

You must not alter or remove any copyright or other proprietary notice that appears on or in the software.

You must not modify, adapt, translate or create derivative works based upon the software. You must not reverse engineer, disassemble, or otherwise attempt to discover the source code of the software.


Transfer
You may not rent, lease, sublicense, assign, or transfer your rights in the software, or authorise all or any portion of the software to be copied onto another user’s device except as may be expressly permitted by this agreement.


Connectivity and Privacy
You acknowledge and agree to the following:

Updating. If your device is connected to the internet, the software may, without additional notice, check for updates that are available for automatic download and installation to your device.

Updates to the software may be licensed to you by Out Of The Ark with additional or different terms.

Settings. The software may save certain user settings by storing them on your device as a local object.

Content Protection. The software accesses content that has been protected. In order to let you play the protected content the software may automatically request media usage rights and customisation instructions from the internet, and may download and install required components of the software.

Indemnity. You agree to hold us harmless from any and all liabilities, losses, actions, damages, or claims including all reasonable expenses arising out of any use of the software or the provision of related services.


System Requirements
You are responsible for ensuring that your system meets the following minimum technical standards before downloading, installing or running the software. Systems with specifications below the minimum standards are likely either to achieve unsatisfactory results or else to fail to operate.

In granting the following rights, no other rights are deemed to have been granted.

(Other specific rights related to the usage of songs are granted when you purchase Words on Screen™ eSongbooks and single songs).

Where the licence holder is a school, church or nursery the licence grants the holder the following rights:  Where the licence holder is an individual the licence grants the holder the following rights:  Additional installation rights can be obtained by purchasing an annual Digital Site Licence or Performance Licence from Out of the Ark.


Restrictions It is the licence holder’s responsibility to ensure that no restrictions are violated whether by its employees, its associates or any other individual.

The following acts are strictly forbidden:
Our Rights
We reserve the right to revoke the licence without recompense, without prior notice and at our own discretion if the licence holder is deemed to have failed to observe any of the obligations or restrictions listed above, or any other copyright restrictions.


Terms & Conditions of Supply
These terms and conditions apply to all agreements for the supply of software, licences or services to you to the exclusion of any other terms and conditions specified by you. The software, licences or services you purchase or otherwise obtain from us from us may also be subject to additional terms and conditions issued by us or displayed on our website.

Our failure at any time or for any period to enforce any one or more of these terms and conditions shall not be a waiver of them or a waiver of our right to enforce such terms and conditions in the future.

Each of the terms and conditions shall be read and construed independently of each other so that if one or more is held to be invalid for any reason whatsoever, then the remaining terms and conditions shall continue to be valid.

Scope of This Agreement
This is the entire agreement between Out Of The Ark and you relating to downloading and installing the Words on Screen™ Player and it supersedes any prior representations, discussions, undertakings, communications, or advertising relating to such downloads, licences or services.

If any part of this agreement is found void and unenforceable, it will not affect the validity of the balance of this agreement, which shall remain valid and enforceable according to its terms.



(c) Use of the Words on Screen™ Player

The Words on Screen™ Player is designed to play software supplied as single songs and as Words on Screen™ eSongbooks.

By purchasing or downloading single songs or Words on Screen™ eSongbooks you are acquiring a Single User Licence to use the song software files on your Words on Screen™ Player. The Words on Screen™ Player may not be used except as permitted under the terms and conditions of the Single User Licence. Additional usage and installation rights can be obtained by purchasing an annual Digital Site Licence or Performance Licence from Out of the Ark.

In acquiring a Single user Licence you agree that you are not the owner of the song software files which remain the property of Out of the Ark Limited. The Single user Licence agreement grants you certain rights and the songs may not be used in any ways not stipulated in the licence.

Copying, attempting to copy, selling or attempting to sell the songs whether in part or in whole and via whatever medium are strictly forbidden, except as expressly permitted under the terms of the licence. The same restrictions apply to songs that have been supplied to you free of charge.

Words on Screen™ eSongbooks and single song downloads purchased from our website cannot be cancelled or refunded once the purchase has been made, so please be careful to choose the correct product. The eSongbooks and single songs are added to your Words on Screen™ Player‘s song library and to your account immediately at the point you purchase them. You will not have the right to cancel your contract thereafter.

By purchasing songs or eSongbooks you are agreeing that your cancellation period has ended. If you have received an unacceptably poor download, you must tell us as soon as possible by emailing digital@outoftheark.com.

Your Single user Licence Rights and Obligations
For full terms and conditions please read your Single User Licence(s).

The Single User Licence will remain in force subject to the following obligations being undertaken by the licence holder and/or the user of the software on behalf of the licence holder, and subject to no infringement or violation having been committed: All other licence requirements relating to the use, reproduction or performance of our products remain the same. You are still required to log the use of our songs on your annual CCLI report, declare copies made of our Words on Screen™ eSongbooks on your MRL and SPML reports, and obtain licences for public performances.

(2) Single-User Licence - For Words on Screen Software

This licence grants the holder the right to install the specified software on no more than one computer belonging to the educational establishment or church that holds the licence. See full terms and conditions below:

(1) The Single-User Licence Holder’s Rights – General Usage

In granting the following rights, no other rights are deemed to have been granted.

(a) For Establishments
Where the licence holder is an establishment (eg a school, a church or a nursery) the licence grants the holder the following rights. Rights (1) – (5) below are ONLY applicable to usage on the premises of the purchasing establishment that holds the licence.

CD ROM (Where supplied)
(1) To run the software contained on the CD ROM directly from the disc.
(2) To install the software from the CD ROM on no more than one computer (NOT the network server*) belonging to the purchasing establishment that holds the licence. 
(3) To run the software contained on the CD ROM directly from the hard disk of the computer on which the software has been installed. 
Downloading 
(4)To download the eSongbook and song files from Out of the Ark’s website to one computer (NOT the network server*) belonging to the purchasing establishment that holds the licence.
(5) To run the eSongbook and song files using a Words on Screen™ Player installed on the hard disk of the same computer on which the files have been downloaded.
Streaming
(6) To stream the eSongbook and song files from Out of the Ark’s website using a web browser on any device for a period of 12 months from the point of purchase.
 
(b) For Individuals
Where the licence holder is an individual teacher or an education advisor the licence grants the holder the following rights:
 
CD ROM (Where supplied)
(1) To run the software contained on the CD ROM directly from the disc at any location where the individual is working.
(2) To install the software from the CD ROM on no more than one computer (NOT the network server*) belonging to the licence holder, or on one computer at the normal workplace of the licence holder.
(3) To run the software contained on the CD ROM directly from the hard disk of the computer on which the software has been installed.
Downloading
(4) To download the eSongbook and song files from Out of the Ark’s website to one computer (NOT the network server*) belonging to the licence holder, or on one computer at the normal workplace of the licence holder.
(5) To run the eSongbook and song files using a Words on Screen™ Player installed on the hard disk of the same computer on which the files have been downloaded.
Streaming
(6) To stream the eSongbook and song files from Out of the Ark’s website using a web browser on any device for a period of 12 months from the point of purchase.
 
* Permission to install or use this product on a network server can be obtained by purchasing an Out of the Ark Performance Licence or Digital Site Licence that covers this product.


(2) The Single-User Licence Holder’s Rights – Extracting PDFs and MP3s and Playing Videos

PDF document files (of the lyrics, music scores, teachers’ notes and script) and MP3 files of each of the audio tracks for this songbook are supplied as part of the Words on Screen™ software. In addition video files are supplied with some Words On Screen™ eSongbooks.

Use of this software to extract and use PDF files and MP3 files or to stream or download video files is strictly regulated under the terms of the Single-User Licence. In granting the following rights, no other rights are deemed to have been granted in relation to the extraction and use of the PDFs, MP3s or the streaming or downloading of video files. The rights apply regardless of whether the original software was supplied as a CD ROM, as a download or as streamed content, and regardless of whether the files are extracted from installed versions of the software, or directly from the CD ROM, or from the streamed version of the eSongbook.

Whether the licence holder is an establishment (eg a school, church or nursery) or an individual the licence grants the holder the following rights.
 
(1) To extract the PDF and MP3 files from the software or to download the video files using no more than one device belonging to the licence holder.
(2) To open the PDF, MP3 or video files on no more than one device belonging to the licence holder.
(3) To save the PDF, MP3 or video files on no more than one device (NOT a network server) belonging to the licence holder.
(4) To play the MP3 or video files on the device on which the files have been opened and/or saved
(5) To view the PDF files on the device on which the files have been opened and/or saved.
(6) To print no more than one copy of each of the PDF files from the device on which the files have been opened or saved.
 
If you also hold a current Out of the Ark Performance Licence or Digital Site Licence covering this product additional file extraction & usage rights, including saving files to a network server, are granted for the period of the licence’s validity – refer to the terms and conditions of your licence.


(3) The Single-User Licence Holder’s Obligations

IMPORTANT - Single-User Licence Holders wishing to:
- install the software on more than one computer, or
- install the software on a network server, or
- extend their streaming rights beyond the initial free 12 month period
- extract the PDF files, MP3 files or download the video files on more than one computer, or
- use the PDF files, MP3 files or video files on more than one computer, or
- install the PDF files onto a school network or intranet
- install the MP3 files or video files onto a school network or intranet
 
must purchase a Performance Licence or else have a valid Digital Site Licence from Out of the Ark Music.

Single-User Licence Holders wishing to:
- perform the musical including the script
- use the MP3 files or video files for performance
 
must purchase a Performance Licence from Out of the Ark Music.

The licence shall only remain in force subject to the following obligations being undertaken by the licence holder and/or the user of the software on behalf of the licence holder, and subject to no infringement or violation having been committed:
(1) All organisations or individuals holding a CCLI Licence (Christian Copyright Licensing International) must log the use of all songs on the licence holder’s CCLI report.
(2) The copying of PDFs of scores or lyrics must be logged and reported as required by the Copyright Licensing Agency (CLA) and by Printed Music Licence Limited (PMLL) or by any other copy licence issuer in your territory.
(3) Where the musical is performed in front of an audience other than staff and pupils a valid Performance Licence from Out of the Ark Music must be purchased.
(4) Where only the songs are performed in front of an audience other than staff and pupils a valid PRS licence or similar must be held*.

* Most UK schools hold a Performing Rights Society (PRS) Licence through a block licence agreement with the Department for Education. A PRS licence covers the performance of songs, but not the performance of musicals involving a script. Organisations wishing to perform the songs but which do not have a PRS licence or similar should purchase a Performance Licence from Out of the Ark Music.

 
(4) Restrictions
The following acts are strictly forbidden under the terms of the Single-User Licence. It is the licence holder’s responsibility to ensure that no restrictions are violated whether by its employees, its associates or by any other individuals.
(1) Making any copy of the software, or any part thereof, to any medium whether for private use or public use - with the exception of the installation rights granted above or within the terms of a Performance Licence or Digital Site Licence.
(2) Broadcasting or distributing any of the software by any means – with the exception of the rights granted within the terms of a Performance Licence or Digital Site Licence.
(3) Forwarding any of the software by any means.
(4) Lending any of the software to any other party than the staff members of the licence holder.
(5) Selling or transferring any of the software to any other party.
(6) Selling, transferring or disposing of any computer or storage device on which the software in part or in whole is installed or stored.
(7) Modifying any of the software whether for individual use, public use, or financial gain.
(8) Using any of the software to create new programs or applications.
 
For the avoidance of doubt these restrictions apply to any of the software including:
- software supplied by CD ROM, including installed versions thereof
- downloaded or streamed Words on Screen™ Player files and related content
- downloaded or streamed eSongbook and song files and related content


(5) Licence Issuer’s Rights
Out of the Ark Music reserves the right to revoke the Single-User Licence without recompense, without prior notice and at its own discretion if the licence holder is deemed to have failed to observe any of the obligations or restrictions listed above, or any other copyright restrictions.


(3) Digital Site Licence - Extended Digital Rights for Words on Screen eSongbooks

The following digital usage permissions are granted to the holder for the period of the licence:

Use of Downloaded Words on Screen™ Songs
Downloading song files to more than one computer / device belonging to the establishment
Downloading song files to the establishment’s network for access via any device belonging to the establishment
Downloading song files to a teacher’s home computer or mobile device for preparation purposes only
Displaying the song lyrics during concerts / performances

Please note that the playing of the audio files (songs or backing tracks) during public performances requires a PRS Licence


Use of Streamed Words on Screen™ Songs (including video files)
Streaming the songs beyond the initial free period on multiple devices belonging to the establishment
Streaming the songs on a teacher’s home computer or mobile device for preparation purposes only
Displaying the song lyrics during concerts or performances - for best results we recommend downloading song files
 
Please note that the playing of the audio files (songs or backing tracks) during public performances requires a PRS Licence


Use of MP3s & Video Files
Burning copies of MP3s or video files onto CD for on-site use (limit 3 copies)
Saving MP3s or video files to devices belonging to the establishment
Saving MP3s or video files to the establishment’s network for access via any device belonging to the establishment
Copying MP3s to the establishment’s computer music library (eg iTunes)
Saving MP3s or video files onto a teacher’s own computer at home for preparation purposes only
Using MP3s or video files on teacher’s personal / mobile devices at home for preparation purposes only
Playing MP3s (songs or backing tracks) or video files during concerts / performances
 
Please note that the playing of the audio files (songs or backing tracks) or video files during public performances requires a PRS Licence


Use of PDFs
PDFs may be used for all teaching purposes
Printing and photocopying the music score or lyrics is covered by the school’s SPML licence (or overseas equivalent)
Printing and photocopying other parts of the songbooks are covered by the school’s CLA licence (or overseas equivalent)
Printing and photocopying the lyrics for use in assemblies or church are covered by CCLI licences
Printing and copying should be logged and reported as required by each of the licence issuers

Schools that do not have SPML, CLA or CCLI licences may print or photocopy up to two copies of the music score for performance or learning purposes under the terms of this Digital Site Licence


School’s Intranet / Restricted Internet / Learning Platform
Installation and uploading of audio files and Words On Screen™ Original or Words on Screen™ files / PDFs / video files for use in school
Installation and uploading of audio files and Words On Screen™ Original or Words on Screen™ files / video files for use in performance
Uploading of audio or video files of children performing songs


Public Websites (including school’s website, YouTube, Facebook, Vimeo, SoundCloud etc)
Uploading of audio or video files of children performing songs (Out of the Ark must be credited, plus inbound link to outoftheark.com must be provided).

Please note that Out of the Ark’s original recordings may not be posted to public websites except as an accompaniment to the children singing.


Exclusions

(1) The following activities require other licences and are not covered by the Performance Licence (except as stated above):
Photocopying or printing any documents for use in assemblies (covered by CCLI licences)
Photocopying or copying any documents for other school uses (covered by CLA and SPML licences)
Displaying song lyrics in assemblies (covered by CCLI licences)
Production of a CD or DVD for distribution that includes the work in any form (covered by MCPS Licence)
Performance of the songs in a public venue (covered by PRS licences)
Performance of the work for broadcast (broadcaster to seek permission)

(2) The following activities are not permitted:

Uploading files to public internet sites (other than audio accompaniment for a children’s performance on the school’s public website as above)
File sharing with any other establishment or its employees or pupils
Usage by peripatetics
Burning copies of audio files onto CD for pupils’ home use

Important
The use of this product is strictly regulated under the terms of the licence issued at the time of purchase. The original licence document should be retained for inspection as the product may not be used without a valid licence.

Licence Issuer’s Rights
Out of the Ark Music reserves the right to revoke the licence without recompense, without prior notice and at its own discretion if the licence holder is deemed to have exceeded the usage rights granted in this licence, or any other copyright restrictions.  


(4) Performance Licence Extended digital rights for Nativities and Musicals

The following permissions are hereby granted to the licence holder for the period of the licence:

Performance

To perform the aforementioned work on any number of occasions on the establishment’s premises or on third party premises during the period shown
The charging of an entrance fee is permitted


Use of Songbook
The songbook may be used for all teaching, rehearsal and performance purposes
Photocopying of the music score or lyrics is covered by the school’s SPML licence (or overseas equivalent)
Photocopying of other parts of the songbook is covered by the school’s CLA licence (or overseas equivalent)
Photocopying the music score or lyrics (or typing the lyrics) for use in assemblies or church is covered by CCLI licences
Photocopying should be logged and reported as required by each of the licence issuers

Schools that do not have SPML or CCLI licences may photocopy up to two copies of the music score for performance or learning purposes under the terms of this Performance Licence


Use of Script
The script may be used for all teaching, rehearsal and performance purposes
Photocopying of the script is covered by the school’s CLA licence (or overseas equivalent)
Photocopying should be logged and reported as required by CLA

Schools that do not have a CLA licence may photocopy up to two copies of the script for learning purposes under the terms of this Performance Licence


The following digital usage permissions are also granted where digital content has been purchased:

Use of Downloaded Words on Screen™ Songs
Playing the audio files (songs or backing tracks) during performances
Displaying the song lyrics during public performances
Downloading song files to more than one computer / device belonging to the establishment
Downloading song files to the establishment’s network for access via any device belonging to the establishment
Downloading song files to a teacher’s home computer or mobile device for preparation purposes only


Use of Streamed Words on Screen™ Songs
Playing the audio files (songs or backing tracks) during performances - for best results we recommend downloading song files
Displaying the song lyrics during performances - for best results we recommend downloading song files
Streaming the songs beyond the initial free period on multiple devices belonging to the establishment
Streaming the songs on a teacher’s home computer or mobile device for preparation purposes only


Use of MP3s & Video Files
Playing MP3s (songs or backing tracks) or video files during performances
Burning copies of MP3s or video files onto CD for on-site use (limit 3 copies)
Saving MP3s or video files to devices belonging to the establishment
Saving MP3s or video files to the establishment’s network for access via any device belonging to the establishment
Copying MP3s to the establishment’s computer music library (eg iTunes)
Saving MP3s or video files onto a teacher’s own computer at home for preparation purposes only
Using MP3s or video files on teacher’s personal / mobile devices at home for preparation purposes only


Use of PDFs

(2) The following activities are not permitted:

Licence Issuer’s Rights
Out of the Ark Music reserves the right to revoke the licence without recompense, without prior notice and at its own discretion if the licence holder is deemed to have exceeded the usage rights granted in this licence, or any other copyright restrictions.
